We advise clients on choice of business entity, capital structure and corporate governance and help our clients define the relative rights and relationships of equity owners. We counsel our corporate clients on issues related to the hiring and compensation of staff members, especially through participation in equity incentive plans. Through our expertise in corporate finance, we help clients refine their business strategy, prepare quality investor materials, navigate the often difficult and complex issues related to funding and investment, whether that be through investments made by “friends and family,” angel investors or venture capitalists, or through sales of securities to individual investors in a private placement or Regulation A+ offering. Our counseling continues with more mature clients, including representation in connection with public offerings and post-IPO compliance.
We frequently function as a virtual in-house counsel for our clients, and are regularly called upon to provide strategic as well as legal advice on a wide variety of issues, including matters related to short and long-term growth strategies, business relationships with OEMs, suppliers, distributors, licensees and strategic partners. We also provide general counseling and strategic planning on the impact of new regulations and technologies. In addition, our comprehensive intellectual property experience in particular makes us effective and focused in matters related to the creation, preservation and monetization of our clients’ intellectual property rights, which frequently are our clients’ most valuable assets. And, when our clients wish to pursue an exit strategy, we provide creative advice designed to maximize value and to position our clients as advantageously as possible in the exit transaction.
